Terms of Service

1. Acceptance of Terms

By accessing and using ClipAffiliates ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users of the platform, including brands, content creators, and affiliates/clippers.

2. Description of Service

ClipAffiliates is a two-sided marketplace that connects brands and content creators with affiliates (clippers) who promote and distribute their content across social media platforms. The platform facilitates:

• Campaign creation, funding, and management for brands
• Campaign discovery and participation for affiliates
• Content submission, review, and approval workflows
• Automated view tracking and verification via social media APIs
• Performance-based payment processing through Stripe

3. User Accounts

To use our services, you must create an account and select a role (Brand or Affiliate). You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the security and confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring connected social media accounts are your own and legitimate

You must be at least 18 years old to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Campaign & Payment Terms

For Brands: When creating a campaign, you deposit funds into an escrow balance managed by the platform. A 1% platform fee is charged on deposits. Affiliates are paid from your campaign budget based on verified views at the CPM rate you set. Unused funds can be withdrawn at any time.

For Affiliates: You earn money based on verified views of your published content, calculated at the campaign's CPM rate. Payments are processed through Stripe. There are no platform fees for affiliates. Minimum withdrawal thresholds and processing times may apply.

Views are verified through official social media platform APIs. The platform is not responsible for discrepancies between platform-reported views and third-party analytics tools.

5. Content Guidelines

All content submitted through the platform must comply with the following guidelines. Users must not post content that:

• Violates any applicable laws or regulations
• Infringes on intellectual property rights of any third party
• Contains harmful, fraudulent, deceptive, or misleading material
• Manipulates engagement metrics artificially (fake views, bots, view farms, etc.)
• Violates the terms of service of the social media platforms it is posted on
• Contains hate speech, harassment, or explicit content not permitted by the campaign

Brands have a 72-hour review window to approve or reject submitted content. Content that violates these guidelines may be removed and the associated account may be suspended or terminated.

6. Intellectual Property

Brands retain ownership of their original content and campaign materials. Affiliates retain ownership of their derivative works (clips, edits, UGC content) but grant brands a non-exclusive license to use such content for promotional purposes as part of the campaign agreement. The ClipAffiliates platform, including its design, features, and technology, is the intellectual property of ClipAffiliates.

7. Prohibited Activities

You agree not to:

• Use bots, scripts, or automated tools to inflate views or engagement
• Create multiple accounts to circumvent platform rules or bans
• Attempt to bypass the platform to arrange direct payments with other users
• Reverse-engineer, decompile, or disassemble any part of the platform
• Use the platform for any illegal or unauthorized purpose
• Interfere with or disrupt the integrity of the platform or its servers

8. Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or for any other reason at our sole discretion. Users may also terminate their accounts at any time through their account settings or by contacting support. Upon termination, any pending earnings will be processed according to our standard payout schedule, and any remaining campaign funds will be returned to the brand.

9. Limitation of Liability

ClipAffiliates is provided "as is" and "as available" without warranties of any kind, either express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount of fees paid by you to the platform in the twelve months preceding the claim.

10. Dispute Resolution

Any disputes between brands and affiliates regarding content quality, view counts, or payments should first be raised through the platform's built-in review and dispute system. If a resolution cannot be reached, either party may contact our support team for mediation. For legal disputes with ClipAffiliates, you agree to first attempt resolution through informal negotiation before pursuing formal proceedings.

11. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or through the platform. Continued use of the platform after changes constitutes acceptance of the updated terms. If you do not agree with the changes, you should stop using the platform.
